This page reflects Cynap's current commercial model — no setup fee, a 14-day free trial, and monthly billing with optional annual savings — and is published as a working draft. It has not yet been reviewed or approved by legal counsel and is not the binding agreement until that review is complete.
1. The Agreement
These Terms of Service ("Terms") are an agreement between the customer accepting them ("you", "Customer") and Cynap, operated by Roee Alfasi ("Cynap", "we"). By creating an account, clicking to accept, or using the service, you agree to these Terms, our Privacy Policy, the Data Processing Agreement ("DPA"), all of which are incorporated by reference. Acceptable use of the service is governed by Section 11 (Acceptable Use) below. If you accept on behalf of an organization, you represent that you have authority to bind it. The service is for business use by users 18 or older; it is not offered to consumers.
2. The Service
Cynap provides custom AI-powered operations solutions delivered as software plus implementation: a knowledge layer that connects to your existing tools, learns your business context, and runs automations, analytics, and communication workflows for your organization. Features identified as beta or preview are provided as-is for evaluation, may change or be withdrawn, and are excluded from any commitments that conflict with their beta nature.
3. Accounts and Organizations
- You are responsible for account security and for activity under your account.
- You must provide accurate information and keep it up to date.
- Organization owners control their organization's data, members, integrations, and automations; instructions given through those controls are your instructions to us.
4. Integrations You Connect
- You authorize Cynap, acting on your behalf and based on your configuration, to access and transmit Customer Data between the platform and the third-party services you connect, for the duration of your subscription.
- You must be authorized to connect each third-party system you link to Cynap, and you are responsible for obtaining any consents and providing any privacy notices required for the data you bring into the service.
- Your use of each connected service remains subject to that provider's own terms. Where Cynap's AI features rely on third-party model providers, those providers' usage terms apply to your use of those features, and you agree to use AI features only in accordance with them and Section 11 (Acceptable Use).
- Third-party services are outside our control: we are not responsible for their content, availability, or behavior.
5. Pricing, Billing, and Payments
- Cynap is a single monthly recurring subscription. We estimate the fee from your business context and requirements and confirm it with you in your plan before you are billed. There is no setup or implementation fee. Public ranges are on the Pricing page.
- You can pay monthly and cancel any time, or choose annual billing for 10% off the monthly rate.
- Your first charge is taken only after your 14-day free trial (Section 6). Subscription fees are then billed in advance for each active billing period.
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's Buyer Terms apply to every purchase in addition to these Terms.
- We may change pricing with notice before your next renewal; continued renewal after notice constitutes acceptance of the new pricing.
6. Free Trial
- Your subscription begins with a 14-day free trial. The trial clock starts when your first solution goes live — that is, when at least one agreed solution is running in your connected tools — not when you add your card.
- When you start, your payment method is authorized but not charged. You have full access to the service throughout the trial.
- Unless you cancel before it ends, the trial automatically converts to the monthly plan on day 15, and the first monthly charge is taken then. You can cancel at any time during the trial in one click, with no charge.
- Delivery commitment. We aim to make your first solution live within one week. If delivery runs late, your trial does not start and you are not charged until it is live — the free period always runs from the day your first solution goes live.
7. Refunds and Cancellation
- The 14-day free trial is your risk-free way to evaluate Cynap: you are not charged during the trial, and cancelling before it ends means no charge at all. Full details are in our Refund Policy.
- After the trial you may cancel at any time. Cancellation stops future renewals and takes effect at the end of the current paid month; the current month is not refunded once it has started, except where a refund is required by applicable law.
8. Your Data: Ownership and License
"Customer Data" means the information your organization submits to or through the service, including data from third-party services you connect and the business knowledge the service builds for your organization. As between you and Cynap, you own your Customer Data.
- You grant Cynap a worldwide, non-exclusive, limited-term license to access, use, process, copy, store, transmit, and display Customer Data solely as necessary to: (i) provide, maintain, secure, and improve the service for you; (ii) prevent or address service, security, or technical issues; and (iii) comply with law. No other rights are granted except as expressly set out in these Terms.
- Your organization's Customer Data lives in a dedicated, isolated environment. We do not share it with other customers, and we do not use it to train AI models (see the DPA).
- Personal data within Customer Data is processed under the DPA .
- You can export your Customer Data during the term and for 30 days after it ends.
9. Usage Data and De-identified Patterns
Like other automation platforms, Cynap learns from how the platform is used — without pooling or sharing any customer's data:
- Usage Data. Cynap may collect and use technical logs, telemetry, configuration metadata, and analytics about the operation, security, and performance of the service to operate, secure, develop, and improve the service. Usage Data excludes the content of your Customer Data.
- No cross-customer pooling. Your records, content, and identities are never pooled with, or shared across, other customers. Cynap does not currently derive or share cross-customer de-identified patterns from Customer Data.
- Reserved, deferred capability. If we ever introduce a capability to derive de-identified, aggregated structural patterns across customers — such as data-model shapes, workflow templates, or integration mappings — it will be limited to abstract, typed structures that never include personal data, free-text content, identities, or field values, and we will update these Terms and provide notice before any such use begins. We will not attempt to re-identify, or represent as attributable to, any customer or individual.
- Cynap retains all right, title, and interest in Usage Data, during and after the term of this agreement; any disclosure of it is solely in aggregate or de-identified form.
10. AI Features
- Output is yours. As between you and Cynap, you own the outputs the AI features generate for your organization, and we assign you any interest we may have in them. Due to the nature of AI, outputs may not be unique and similar outputs may be generated for others.
- Review before relying. AI output may contain errors or inaccuracies. You are responsible for reviewing output before relying on it or acting on it, and for keeping a qualified human in the loop where output informs decisions with legal, medical, financial, or similarly significant effects — as detailed in Section 11 (Acceptable Use).
- Providers. AI features are powered by third-party model providers (described, by category, in our Privacy Policy; a current list is available on request). Their usage policies flow down to your use of AI features.
- No training. We do not use your Customer Data to train AI models, and we rely on provider commitments not to train on API traffic, as described in the DPA and Privacy Policy.
11. Acceptable Use
You are responsible for use of the service under your account, including by your team and by automations you configure. You agree not to:
- Use the service for illegal activity, to infringe others' rights, or to send spam or unsolicited communications in violation of applicable law (including UK PECR and equivalent marketing rules).
- Attempt to gain unauthorized access to Cynap, other customers' data, or any third-party system — including credential stuffing, enumeration, or probing other organizations' workspaces — distribute malware, or perform security testing of the platform without our prior written consent.
- Submit data you do not have the right to process, or configure automations to circumvent a connected provider's rate limits, access controls, or terms.
Because Cynap's AI features rely on third-party model providers whose usage policies flow down to you, you additionally agree not to use AI features to:
- Provide regulated professional advice (medical, legal, or financial) to individuals without a qualified professional reviewing the output before it is relied upon, or to practice medicine, deliver clinical care, or give medical advice. Operational and administrative automation for healthcare businesses (scheduling, invoicing, records administration) is permitted; clinical decision-making is not.
- Make automated decisions with legal or similarly significant effects on individuals (for example employment, credit, insurance, or housing) without meaningful human review.
- Present AI-generated conversations to consumers without disclosing that they are interacting with AI, where that disclosure is required by a provider's policy or by law; or attempt to jailbreak or circumvent model safety systems.
We may suspend or terminate access for violations, security risk, or non-payment — with prior notice where practicable, or immediately where a violation creates legal exposure, security risk, or harm to others — and will restore access once the issue is resolved. To report abuse: roee@cynap.ai.
12. Confidentiality and IP
- Each party will protect the other's confidential information with reasonable care and use it only as needed to perform under these Terms.
- Cynap and its licensors retain all rights in the platform, software, and documentation. No rights are granted except as stated in these Terms.
- If you give us feedback, we may use it to improve the service without obligation.
13. Warranties and Disclaimers
We will provide the service with reasonable skill and care. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND ALL IMPLIED WARRANTIES AND CONDITIONS ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW. AUTOMATIONS ACT ON LIVE SYSTEMS BASED ON YOUR CONFIGURATION; YOU ARE RESPONSIBLE FOR THE CONFIGURATION YOU APPROVE AND FOR VALIDATING AI OUTPUT BEFORE RELYING ON IT. WE DO NOT WARRANT THIRD-PARTY SERVICES.
14. Liability
NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, OR GOODWILL. EACH PARTY'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS IS LIMITED TO THE FEES YOU PAID TO CYNAP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW (INCLUDING FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE), OR YOUR PAYMENT OBLIGATIONS.
15. Indemnity
You will defend and indemnify Cynap against third-party claims arising from your Customer Data, your violation of Section 11 (Acceptable Use), or your breach of Section 4 (Integrations) — provided we notify you promptly and let you control the defense.
16. Term and Termination
- These Terms apply while you use the service. Either party may terminate for material breach not cured within 30 days of notice; you may cancel as described in Section 7.
- On termination, your access ends; Customer Data is exportable for 30 days and then deleted per the DPA .
- Sections that by their nature survive termination (including Sections 8–10, 12–15, and 17–18) survive.
17. Changes to These Terms
We may update these Terms as the service evolves. For material changes we will give reasonable advance notice (by email to organization owners and by posting here with a new effective date); continued use after the effective date constitutes acceptance. The version history of our legal documents is available on request.
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, and the competent courts of Tel Aviv–Jaffa, Israel have exclusive jurisdiction — except that either party may seek injunctive relief in any competent court. This choice of law and forum does not deprive you of any mandatory consumer or data-protection protections of the country where you are established; where your data is subject to UK or EU data protection law, the Privacy Policy and DPA continue to apply to that data regardless of this clause.
19. General
These Terms (including the Acceptable Use section), the DPA, Privacy Policy, Refund Policy, and your quote form the entire agreement and supersede prior discussions. If any provision is unenforceable, the rest remain in effect. Neither party waives a right by not exercising it. You may not assign these Terms without our consent (not unreasonably withheld); we may assign to a successor of the business. Neither party is liable for delay caused by events beyond its reasonable control.
